Terms of service
AH!MAZING HEALTH HUB
Terms of Use
Covering the sportswear, gym equipment, supplements, lifestyle and healthy-eating verticals of the marketplace
Effective date: 15th September, 2026
Scope note: These Terms reflect a white-labelled Platform model: supplier identity is not displayed to customers across the covered categories, and Vendor content is presented under the Ah!mazing Health Hub brand.
PART A; GENERAL TERMS OF USE
1. Introduction & Acceptance
- These Terms of Use ("Terms") govern access to and use of the AH!MAZING Health Hub website, mobile application and related services (together, the "Platform"), operated by Ah!mazing Health Hub ("Company", "we", "us" or "our").
- By creating an account, browsing, or placing an order on the Platform, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not use the Platform.
- These Terms do not apply to, and do not govern, any community pharmacy or pharmaceutical-product vertical. Any such vertical, if and when launched, will be governed by separate terms specific to its regulatory requirements.
2. Definitions
- "Platform" means the Ah!mazing Health Hub website, mobile application, and any related services through which products are listed, browsed, ordered, and fulfilled.
- "Vendor" means a third-party business that lists and sells its own products on the Platform on a third-party ("3P") basis, as described in Section 4.
- "1P Products" means products sourced, owned and sold directly by the Company on a first-party basis, as described in Section 4.
- "Order" means a request by a User to purchase one or more products through the Platform, whether 1P Products, Vendor products, or both.
- "Content" means any text, images, listings, reviews, or other material submitted to or displayed on the Platform.
3. Eligibility
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and place Orders on the Platform.
- You represent that all information you provide during registration and checkout is accurate, current, and complete, and that you will update it as necessary.
- The Company may refuse service, suspend, or terminate access to the Platform where these Terms are breached or where required by law.
4. Nature of the Platform
- The Platform operates a hybrid 1P + 3P e-commerce model across the following categories: sportswear, gym equipment, supplements, lifestyle products, and health-focused food and restaurant ("Healthy Eating") offerings.
- Across these categories, the Platform presents a single, white-labelled Ah!mazing Health Hub storefront to Users. The majority of products available are 3P: sourced, priced, and fulfilled by independent Suppliers, who retain ownership of their inventory but do not operate a customer-facing storefront of their own. Supplier identity is not displayed to Users; order collection, packaging, and routing to the correct Supplier are managed by the Company's Order Management System (OMS).
- For consumer-protection and invoicing purposes, the identity of the fulfilling Supplier for a given Order is recorded by the Company and may be disclosed at the level of the Order invoice or on request, notwithstanding that it is not displayed as part of the ordinary customer-facing browsing or checkout experience. This Section does not alter the allocation of responsibility for product quality and accuracy set out in Sections 10 and 11.
- A limited assortment of 1P Products is sourced, held, and sold directly by the Company. Where an Order includes both 1P Products and 3P Supplier products, each portion of the Order is fulfilled according to the applicable party's obligations under these Terms.
5. Account Registration & Security
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify the Company promptly of any unauthorized use of your account or any other breach of security.
- The Company is not liable for any loss arising from your failure to safeguard your account credentials.
6. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of these Terms;
- Submit false, misleading, or fraudulent information, including in Orders or reviews;
- Attempt to interfere with, disrupt, or gain unauthorized access to the Platform, its systems, or other Users' accounts;
- Copy, scrape, reproduce, or resell Platform Content except as expressly permitted;
- Use the Platform to harass, defame, or infringe the rights of any Vendor, User, or third party.
- Breach of this Section may result in suspension or termination of your account under Section 15.
7. Orders, Pricing & Payment
- Placing an Order constitutes an offer to purchase, which is accepted upon confirmation by the Company or the relevant Vendor, as applicable.
- Prices displayed on the Platform are inclusive of applicable taxes unless otherwise stated, and are subject to change without notice prior to Order confirmation.
- Payment must be made through the payment methods supported by the Platform at checkout (which may include cards, bank transfer, mobile money, and pay-on-delivery where offered). The Company or its payment processing partners may verify payment details before confirming an Order.
- The Company reserves the right to cancel or refuse any Order, including where a pricing or listing error is identified, subject to a full refund of any amount paid for the cancelled Order.
8. Delivery
- Estimated delivery times shown on the Platform are indicative and not guaranteed, and may vary based on the fulfilling Vendor's or the Company's location, product availability, and courier performance.
- Risk of loss or damage to a product passes to the User upon delivery to the address provided at checkout, except where the loss or damage arises from the Company's or a Vendor's fault.
- Users are responsible for providing an accurate and accessible delivery address. Additional delivery attempts necessitated by an inaccurate address may be subject to an additional fee.
9. Intellectual Property
- All trademarks, logos, platform design, software, and Company-authored Content on the Platform are the property of the Company or its licensors and may not be used without prior written consent.
- Suppliers retain ownership of their own brand names, logos, and underlying product Content, even though that branding is not displayed to Users on the Platform. The Company's use of Supplier-supplied product Content (descriptions, images, specifications) under the Ah!mazing Health Hub brand is subject to the licence granted under Section 22.
- Users may not reproduce, distribute, or create derivative works from Platform Content except for personal, non-commercial use in connection with placing Orders.
10. Third-Party Supplier Content
- Product descriptions, images, pricing, and availability for 3P products are supplied by the relevant Supplier and presented to Users under the Ah!mazing Health Hub brand, without Supplier attribution. While the Company applies onboarding vetting and periodic quality checks as described in the Vendor Agreement (Part B), the Company does not independently verify every listing and is not responsible for inaccuracies in Supplier-supplied Content.
- Users should direct product-specific questions to the Platform's customer support, which will liaise with the relevant Supplier as needed. Customer support will not disclose Supplier identity to a User except where required for invoicing, legal, or regulatory purposes.
11. Disclaimers of Warranties
- The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
- The Company does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any product will meet a User's specific requirements or expectations.
- Nothing in this Section excludes or limits any warranty or right that cannot lawfully be excluded or limited under applicable consumer protection law.
12. Limitation of Liability
- To the fullest extent permitted by law, the Company's aggregate liability to any User arising out of or relating to these Terms or the Platform shall not exceed the total amount paid by that User for the Order(s) giving rise to the claim in the six (6) months preceding the claim.
- The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from use of the Platform.
- Nothing in these Terms excludes or limits liability for death, personal injury, or fraud caused by the Company's negligence or wilful misconduct, or any other liability that cannot be excluded under applicable law.
13. Indemnification by User
- You agree to indemnify and hold the Company harmless from any claims, losses, or damages (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of any law or third-party right.
14. Privacy & Data Protection
- The Company's collection, use, and protection of personal data is governed by its Privacy Policy, which forms part of these Terms by reference.
- Where personal data is shared with a Vendor solely to fulfil an Order (e.g., delivery address, contact details), the Vendor is responsible for handling that data lawfully and only for that purpose.
- The Company will take reasonable technical and organizational measures to protect User data in accordance with applicable data protection law.
15. Termination & Suspension
- The Company may suspend or terminate a User's access to the Platform, with or without notice, for breach of these Terms, suspected fraud, or as required by law.
- Users may close their account at any time by contacting customer support. Termination does not affect obligations that accrued prior to termination, including payment for completed Orders.
16. Governing Law & Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
- The Company encourages Users to first raise any complaint with customer support. Unresolved disputes may be referred to arbitration under the Arbitration and Mediation Act, or to the courts of competent jurisdiction in Nigeria, without prejudice to any statutory consumer rights.
17. Amendments
- The Company may amend these Terms from time to time to reflect changes in law, regulation, or Platform operations. Material changes will be notified to Users through the Platform or by email in advance of taking effect.
- Continued use of the Platform after an amendment takes effect constitutes acceptance of the amended Terms.
18. Miscellaneous
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Entire agreement: These Terms, together with the Vendor Agreement (Part B, where applicable), the Return, Refund & Exchange Policy (Part C), and the Privacy Policy, constitute the entire agreement between the User and the Company in respect of Platform use.
- Force majeure: The Company shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, strikes, or governmental action.
-
Assignment: The Company may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets. Users may not assign their rights under these Terms without the Company's prior written consent.
-

PART B; SUPPLIER AGREEMENT (3P Fulfilment Partners)
This Part B applies to every Vendor/Supplier that fulfils products on the Platform on a third-party (3P) basis under the Company's white-labelled Ah!mazing Health Hub storefront. It does not apply to 1P Products, which are sourced and sold directly by the Company (it does not apply to any community pharmacy vertical, which falls outside the scope of these Terms and remains a fully disclosed model).
19. Vendor Eligibility & Onboarding
- A prospective Vendor must complete the Company's vendor vetting and application process, including providing valid business registration details and any category-specific regulatory evidence (for example, NAFDAC registration for supplements or packaged food items, and food-handling/environmental health permits for Healthy Eating vendors).
- The Company may decline, suspend, or delay onboarding of any Vendor at its reasonable discretion, including where vetting reveals incomplete, inaccurate, or non-compliant information.
- As part of onboarding, the Vendor acknowledges and agrees that its products will be presented to Users under the Ah!mazing Health Hub brand, without Vendor-identifying branding, packaging, invoices, or communications reaching the User, as further set out in Section 22.
20. Vendor Obligations
- The Vendor shall supply only products it is lawfully entitled to sell, with accurate descriptions, pricing, images, and (where applicable) ingredient or allergen information, for presentation to Users under the Ah!mazing Health Hub brand.
- The Vendor shall maintain adequate stock to fulfil confirmed Orders and shall promptly update availability where stock is exhausted.
- The Vendor shall fulfil Orders within the time-frames agreed at on-boarding, hand over collected items in unbranded or neutral packaging for repackaging by the Company or its logistics partner into Ah!mazing Health Hub-branded packaging, and shall maintain any category-specific regulatory registration or permit for the duration of its relationship with the Platform, providing evidence to the Company on request.
- The Vendor shall not include any Vendor-identifying material (branding, invoices, marketing inserts, or contact details) in or on any package handed over for delivery to a User.
- The Vendor shall comply with the Return, Refund & Exchange Policy set out in Part C, including the response-time obligations set out in Section 33.
21. Commission, Fees & Payment to Vendors
- The Company shall charge the Vendor a commission on each completed sale, at the rate communicated to the Vendor at on-boarding or as subsequently varied on reasonable notice.
- The Company shall remit amounts due to the Vendor, net of commission and any applicable adjustments (including refund-related deductions under Part C), in accordance with the payout schedule communicated to the Vendor from time to time.
22. Vendor Content Licence & Non-Disclosure of Vendor Identity
- The Vendor grants the Company a non-exclusive, royalty-free licence to use, reproduce, and adapt the Vendor's product Content (including images and descriptions), without Vendor attribution, for presentation to Users under the Ah!mazing Health Hub brand, and for the Company's own marketing of the Platform and its catalogue.
- The Company shall not display the Vendor's name, logo, or other identifying branding to Users in connection with the Vendor's products, except: (a) where required by applicable law or regulation; (b) in invoicing or backend records retained by the Company for legal, tax, or dispute-resolution purposes; or (c) with the Vendor's prior written consent.
- This licence continues for so long as the relevant products remain available for fulfillment on the Platform and terminates, in respect of a given product, when that product is delisted, save for Content already incorporated into archived marketing materials.
- For the avoidance of doubt, nothing in this Section transfers ownership of the Vendor's underlying trademarks or brand assets to the Company; it is a licence to use product Content without attribution, not an assignment of the Vendor's brand.
23. Vendor Indemnification
- The Vendor shall indemnify and hold the Company harmless from claims, losses, or damages arising from the Vendor's breach of this Agreement, inaccurate product Content, product defects, non-compliance with applicable regulatory requirements, or the Vendor's inclusion of identifying material in a package contrary to Section 20.
24. Suspension & Termination of Vendor Accounts
- The Company may suspend or terminate a Vendor's account for breach of these Terms, repeated failure to meet fulfillment or quality standards, lapse of required regulatory registration, or as required by law.
- Termination does not relieve the Vendor of obligations accrued prior to termination, including outstanding refund or return obligations under Part C.
25. Prohibited Products
- The Vendor shall not list, supply, advertise, or fulfil through the Platform any controlled substance, narcotic, or psychotropic substance; any prescription-only medicine or pharmaceutical product requiring a licence to dispense; any unauthorised, unregistered, or unlicensed supplement, weight-loss product, or performance-enhancing substance, including any product containing an ingredient prohibited or restricted by NAFDAC; any counterfeit, stolen, or unlawfully obtained goods; or any other product whose sale or distribution is prohibited or restricted under applicable law (together, "Prohibited Products").
- The Vendor warrants that none of its products are, or will become, Prohibited Products, and shall notify the Company immediately in writing if it becomes aware that any product may fall within that definition.
- The Company may, on reasonable suspicion that a product is or may be a Prohibited Product, immediately suspend the relevant listing and, where necessary, the Vendor's account, pending investigation, without liability to the Vendor for any loss arising from that suspension.
- Where the Company determines, following investigation, that the Vendor has supplied a Prohibited Product, the Company may terminate the Vendor's participation immediately without notice, withhold or recover any proceeds relating to that sale, and report the matter to the relevant authorities, including NAFDAC and the National Drug Law Enforcement Agency (NDLEA). The Vendor shall cooperate fully with any resulting investigation.
- This Section survives termination of the Vendor's participation on the Platform.
26. Quality Control & Product Standards
- The Vendor shall ensure all products meet applicable quality, safety, and labeling standards under Nigerian law, including, where applicable, NAFDAC registration and labeling requirements, and are fit for the purpose for which they are marketed.
- The Vendor shall promptly notify the Company in writing of any known defect, contamination, recall, or safety concern affecting a product supplied through the Platform.
- The Company may, on reasonable notice, request samples of a product for quality verification, or require evidence of testing, certification, or regulatory registration, and the Vendor shall provide such samples or evidence within the time-frame requested.
- Where a product is found to be substandard, defective, contaminated, expired, or otherwise non-compliant with applicable law, the Company may require the Vendor to cease supply of that product immediately, cooperate in recalling affected stock from the Platform's fulfillment process, and, where customer safety is affected, support the Company in notifying affected customers in each case at the Vendor's cost where the issue is attributable to the Vendor.
- The Company may conduct periodic quality checks and may suspend a product or the Vendor's account for quality, compliance, or performance concerns, in addition to and without limiting its rights under Section 25.
